Affiliate Agreement - AMERICANS FOUNDATIONS

This Affiliate Agreement describes the terms and conditions for participation in the affiliate program of americans-foundations.com. By signing up for the affiliate program, you agree to abide by these terms and conditions.

Enrollment in the Affiliate Program

To begin the enrollment process, you must submit a completed Affiliate Program application. Your application will be reviewed, and we reserve the right to reject it for any reason, including but not limited to the belief that your promotion methods are not compatible with our company values or marketing strategy.

AFFILIATE RESPONSIBILITIES

As an affiliate, you agree to conduct yourself with complete integrity, which includes presenting marketing and promotional materials that are truthful and not deceptive.

Affiliates are independent contractors and not employees of our company. As such, affiliates are solely responsible for how they conduct their business. Our company does not represent or assume legal responsibility for the actions or misrepresentations of affiliates.

Affiliates must advertise the products exactly as described on the product pages and solely as memorabilia. Misrepresentation or misleading advertisements will not be tolerated and will result in immediate termination from the Affiliate Program.

The owner of the company and their employees will not be held accountable for any false or misleading advertisements made by an affiliate. The affiliate assumes full responsibility for their advertising content and will face legal consequences if they breach these terms.

COMMISSIONS

Affiliates will receive a commission for each sale referred to americans-foundations.com through a properly coded Affiliate link. The specific percentage of the commission will be stated in your Affiliate Dashboard.

Commissions are payable 8 days after a sale is completed, following the conclusion of the refund policy period. This delay ensures all transactions are finalized without pending refunds or chargebacks.

PAYMENT

Payment of commissions will be made via Wise, Payoneer, or cryptocurrency, depending on the method determined by our company.

Affiliates will receive an email notification stating the assigned payment method for their payout, such as Wise, Payoneer, or cryptocurrency. It is the affiliate’s responsibility to ensure they have the necessary account or wallet, such as a Wise account, a Payoneer account, or a cryptocurrency wallet, to receive their payments.

In the event of a chargeback or a refund occurring after the commission has been paid out, the appropriate amount will be deducted from the affiliate’s next payout. This ensures that the losses shared between the vendor and the affiliate are covered appropriately.

If an affiliate ceases to promote our products and a chargeback arises related to their sales, our company. reserves the right to take legal action against the affiliate to recover the amount necessary to cover the chargeback. This measure is intended to mitigate financial losses due to fraudulent or negligent actions by the affiliate.

ADVERTISING COMPLIANCE

All Affiliate advertisements should comply with the standards set by the Federal Trade Commission (FTC) and other relevant regulatory bodies.

Affiliates must not use misleading or unethical advertising practices. All endorsements or testimonials must be truthful and reflect the typical experiences of the end users.

Legal Compliance: Regardless of their location, all affiliates are required to comply with all applicable laws, regulations, and guidelines. This includes, but is not limited to, adherence to the Federal Trade Commission Act (“FTC Act”), the Controlling the Assault of Non-Solicited Pornography and Marketing Act of 2003 (“CAN-SPAM Act”), FTC regulations and guidelines implementing the FTC Act and the CAN-SPAM Act, the FTC’s Guides Concerning the Use of Endorsements and Testimonials in Advertising, decisions by the National Advertising Division of the Better Business Bureau, and other federal and state consumer protection laws, regulations, and guidelines.

INTELLECTUAL PROPERTY

Affiliates are not permitted to alter our logos, banners, and other materials provided by americans-foundations.com. These materials must be used as provided and respect the branding guidelines.

TERM AND TERMINATION

This agreement will begin upon our acceptance of your affiliate application and will end when terminated by either party.

If an affiliate fails to make a sale within 14 days of joining the program, their participation will be automatically terminated. This measure is to ensure active engagement and performance within our Affiliate Program.

We may terminate this agreement immediately, without notice, if we determine that an affiliate has violated any term of this agreement, particularly the advertising accuracy requirement.

INDEMNIFICATION

Affiliates agree to indemnify, defend, and hold our company harmless and its affiliated companies against any and all claims, suits, actions, or other proceedings brought against them based on or arising from the affiliate’s participation in the program. Specifically, affiliates are responsible for:

a. If an affiliate provides misleading information that results in a customer making a purchase under false pretenses or misconceptions about the products, and this leads to financial losses or reputational damage to our company., the affiliate is required to compensate our company for such losses.

b. If losses arise directly due to the affiliate’s breach of any terms of this agreement, particularly in relation to advertising and promotional errors or violations, the affiliate will not only cease to be part of the program but will also be liable for all resulting damages.

c. Our company retains the right to pursue legal action against the affiliate for recovery of damages resulting from the affiliate’s misleading advertising or any breach that results in financial losses or damage to our company’s reputation.

d. Affiliates waive the right to bring a claim against our company for damages incurred due to their own misleading advertising or breaches of this agreement. Our company will not be held liable for damages or losses that are the result of the affiliate’s wrongful actions or misrepresentations.

Additional Indemnity for Miscommunication:

Affiliates must ensure that all communications regarding americans-foundations.com and its services are conducted through approved official channels as specified by americans-foundations.com. The affiliate agrees to indemnify, defend, and hold our company harmless from any claims, losses, damages, or expenses arising from the use of unauthorized communication methods. Affiliates are prohibited from engaging in or promoting discussions, negotiations, or transactions related to americans-foundations.com through unofficial or third-party channels. Failure to adhere to this policy will result in immediate termination of the affiliate agreement and potential legal action for recovery of damages caused by such activities.

LIMITATION OF LIABILITY

Our company will not be liable for indirect, special, or consequential damages, or any loss of revenue, profits, or data, arising in connection with this Agreement or the Affiliate Program.

MODIFICATION

We may modify any of the terms and conditions within this Agreement at any time and at our sole discretion. These modifications may include changes in the scope of available commissions, payment schedules, and Affiliate Program rules.
